Team Building Experiences – Venue Partnership Terms & Conditions

These Terms & Conditions (“Terms”) outline the agreement between Red Cactus Events LTD also known as the brand Team Building Experiences (“TBE”, “we”, “our”, “us”) and the venue (“Venue”, “you”, “your”) regarding participation in our venue listing and partnership programme. By joining any of the partnership options below, the Venue agrees to the following terms.

2. Commission & Payment Terms
2.1 Net Booking Value refers to the venue hire fee excluding VAT, service charges, catering, or unrelated venue services unless otherwise agreed in writing.
2.2 For Premium and Standard Partnerships, commission is payable on:
Any bookings where we book your venue for one of our clients or you book one of our experiences for one of your clients.
2.3 Invoices for commission are issued after the event date. Payment terms are 14 days from the invoice date, unless otherwise agreed.
2.4 If the client cancels, postpones, or reduces spend, commission will apply only to the final delivered and paid booking value.
3. Venue Obligations
By participating in any partnership level, the Venue agrees to:
3.1 Provide accurate, up-to-date venue information, capacities, images, and pricing when requested.
3.2 Notify TBE promptly of any changes to availability, pricing, layout, or policies that may impact suitability for client events.
3.3 Honour any quotations, availability, or provisional holds communicated via TBE to clients.
3.4 Provide a professional service to all referred clients, reflecting positively on both brands.
4. Use of Content & Branding
4.1 The Venue grants TBE permission to:
Display venue information, logos, and imagery on the TBE website and marketing materials.
Feature the Venue in referrals, proposals, presentations, and digital campaigns related to team building or corporate events.
4.2 The Venue confirms that it owns or has rights to all content provided to TBE.
4.3 Branding usage by either party must not be misleading, defamatory, or suggest exclusivity unless explicitly agreed in writing.
5. Referrals & Introductions
5.1 A “referral” or “introduction” is defined as TBE connecting a potential client with the Venue via email, phone, proposal, calendar invite, or other direct communication.

6. Term, Review & Termination
6.1 Participation in the partnership programme begins on the date the Venue accepts these Terms.
6.2 There is no minimum contract period, unless otherwise agreed in writing.
6.3 Annual Review:
The partnership arrangement (including commission rates, benefits, and participation level) will be re-evaluated at the end of each calendar year.
TBE will contact the Venue to discuss performance, updates to the partnership model, and renewal for the following year.
Partnerships will automatically continue into the next year unless either party provides written notice of non-renewal.
6.4 Either party may terminate the partnership at any time by providing written notice (email is acceptable).
6.5 Upon termination or non-renewal:
Any bookings already confirmed remain commissionable.
TBE may remove the Venue from the website and marketing materials at its discretion.
7.Liability
7.1 TBE does not guarantee a minimum number of referrals, leads, or bookings.
7.2 TBE is not responsible for:
Venue operational issues
7.3 Nothing in these Terms limits liability for fraud or negligence resulting in personal injury.
8.Data Protection (GDPR)
8.1 Each party agrees to process personal data in compliance with UK GDPR and relevant data protection laws.
8.2 Client details shared for referral or booking purposes must be used solely to support the event and may not be added to marketing lists unless the client provides explicit consent.
9. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.
